    Have you contemplated doing business or are you a business owner in Brazil?

    Are foreign investors welcome? How hard is it to register and manage a company? What is the procedure to get started? Is it easy to recruit? What are the corporate tax rates in Brazil?

    What advice would you give to other prospective business owners? What do you wish you had known before opening a business in Brazil?

    Setting up in Rio

    Hi guys

    I am working with a company who want to set up a new LLC in Rio. The company is based in Buenos Aires, but we are aware that the law requires a manager who has a permanent work visa for Brazil or is a Brazilian citizen. We are looking for any general advice on doing this, in particular:

    How long is it likely to take to set up a new LLC in Brazil?
    Once set up is it likely the company will be able to get a work visa for me (a British citizen) so that I can go and help them on the ground? If so how long is this likely to take, and is it a costly process?

    Any advice would be much appreciated as we are trying to avoid spending toooo much time with expensive lawyers on the basics

    Hi,

    Brazil is not an easy place to start a new business apparently...
    Incorporating a company in Brazil will take a minimum of 30 days and the law requires the services of a Brazilian lawyer to form a Brazilian company (and as you said in your message, you already know that to be able to be appointed as a Director or Administrator, a foreigner must get a permanent visa for Brazil).

    The LLC requires a minimum of two members, either individuals or companies, domiciled in Brazil or abroad.

    There are three basic types of limited liability company in Brazil:
    1- Sociedade Limitada (LTDA - most common form)
    2- Sociedade Anônima (SA - most expensive and complicated)
    3- Since January 2012 it is possible to set up a single-holder limited-liability company in Brazil, the so-called Eireli. The capital requirements are hundred minimum salaries fully paid (R$ 62.200; January 2012).
